1. Acceptance of Terms
1.1 These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Macks Lifesciences, a company incorporated (or to be incorporated) under the laws of India ("Company," "we," "us," or "our").
1.2 These Terms govern your access to and use of mackslifesciences.com, and any related software products, applications, AI-enabled tools, research platforms, and digital services offered by the Company (collectively, the "Services").
1.3 By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Services.
1.4 If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
2. Eligibility
2.1 You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to use the Services.
2.2 By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and are not barred from using the Services under the laws of India or any other applicable jurisdiction.
2.3 The Company reserves the right to refuse access to the Services to any person or entity at its sole discretion.
3. User Accounts
3.1 Certain features of the Services may require registration of an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You must notify the Company promptly at hello@mackslifesciences.com of any unauthorized use of your account or any other breach of security.
3.4 The Company is not liable for any loss or damage arising from your failure to safeguard your account credentials.
4. Acceptable Use
4.1 You agree to use the Services only for lawful purposes and in accordance with these Terms.
4.2 You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services, or interfere with any other party's use of the Services.
4.3 You agree to comply with all applicable laws, regulations, and third-party rights in connection with your use of the Services.
5. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful, fraudulent, or unauthorized purpose;
- Attempt to gain unauthorized access to any systems, networks, or data related to the Services;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying methodologies, or architecture of the Services, except as permitted by applicable law;
- Upload or transmit viruses, malware, or other harmful code;
- Scrape, harvest, or extract data from the Services using automated means without prior written authorization;
- Misrepresent your identity or affiliation, or impersonate any person or entity;
- Use the Services to generate, publish, or distribute content that is unlawful, defamatory, infringing, or harmful;
- Resell, sublicense, or commercially exploit the Services without the Company's prior written consent;
- Circumvent or attempt to circumvent any usage limits, access controls, or security measures implemented by the Company.
6. Intellectual Property
6.1 All rights, title, and interest in and to the Services, including all software, text, graphics, logos, research outputs, and other content provided by the Company (excluding User Content, as defined below), are and remain the exclusive property of the Company and its licensors.
6.2 Nothing in these Terms grants you any right, title, or interest in the Company's intellectual property except for the limited, revocable, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
6.3 All trademarks, service marks, logos, and trade names displayed on the Services are the property of the Company or their respective owners. Nothing in these Terms grants any license to use such marks without prior written permission.
7. Copyright
7.1 The Services and their original content, features, and functionality are protected by copyright, trademark, and other intellectual property laws.
7.2 If you believe that content available through the Services infringes your copyright, please contact the Company at hello@mackslifesciences.com.
8. Trademark
8.1 "Macks Lifesciences" and associated logos and marks are trademarks of the Company. You may not use these marks without the Company's prior written consent, except as permitted by applicable fair use principles.
9. Scientific Content Disclaimer
9.1 Any scientific, technical, or research-related content made available through the Services is provided for informational and general reference purposes only.
9.2 The Company does not warrant the completeness, accuracy, timeliness, or applicability of any scientific content to your particular circumstances.
9.3 Users are solely responsible for independently verifying any scientific information before relying upon it for research, commercial, clinical, or other purposes.
10. Research Disclaimer
10.1 Any research tools, datasets, or research-support features provided through the Services are intended to assist users in their own independent research activities and do not constitute a substitute for professional scientific judgment, peer review, or regulatory compliance processes.
10.2 The Company makes no representation that any research outputs generated through the Services are suitable for publication, regulatory submission, or reliance without independent validation.
11. AI Output Disclaimer
11.1 The Services may incorporate artificial intelligence or machine-learning-enabled features that generate content, suggestions, analyses, or predictions ("AI Outputs").
11.2 AI Outputs are generated using automated processes and may be inaccurate, incomplete, or unsuitable for a particular purpose. AI Outputs do not constitute professional advice of any kind.
11.3 You are solely responsible for reviewing, validating, and determining the appropriateness of any AI Output before relying upon or acting on it.
11.4 The Company disclaims all liability arising from decisions made or actions taken in reliance on AI Outputs.

14. User Generated Content
14.1 "User Content" means any content, data, text, files, or materials that you submit, upload, or otherwise make available through the Services.
14.2 You retain ownership of your User Content, subject to the license granted to the Company under Section 15.
14.3 You represent and warrant that you own or have the necessary rights to submit your User Content and that such content does not infringe the rights of any third party.
15. License Granted by Users
15.1 By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, and display such User Content solely for the purpose of operating, providing, and improving the Services.
15.2 This license terminates when you delete your User Content from the Services, except to the extent such content has been shared with others or retained as required by law or for legitimate backup purposes.
16. Feedback Ownership
16.1 If you provide the Company with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you agree that the Company may freely use, modify, and incorporate such Feedback into the Services without any obligation of attribution or compensation to you.

21. Account Suspension
21.1 The Company reserves the right to suspend your access to the Services, without prior notice, if the Company reasonably believes you have violated these Terms, engaged in fraudulent or unlawful activity, or posed a security risk to the Services or other users.

22.1 The Company may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice.
22.2 You may terminate your account at any time by discontinuing use of the Services and, where applicable, following the account deletion procedures provided within the Services.
22.3 Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.
23. Indemnification
23.1 You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your User Content.
24. Limitation of Liability
24.1 To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Services.
24.2 The Company's total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you, if any, to the Company for use of the Services during the twelve (12) months preceding the claim.
25. Warranty Disclaimer
25.1 The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
25.2 The Company does not warrant that the Services will be uninterrupted, secure, or error-free.
26. Force Majeure
26.1 The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or governmental actions.
27. Export Compliance
27.1 You agree to comply with all applicable export control and economic sanctions laws and regulations in your use of the Services.
27.2 You represent that you are not located in, or a national or resident of, any country subject to comprehensive trade sanctions, and are not listed on any restricted party list.
28. Governing Law
28.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
29. Dispute Resolution
29.1 The parties shall first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation.
29.2 If the dispute cannot be resolved through negotiation within thirty (30) days, the parties shall proceed to the dispute resolution mechanism set forth in Section 30.
30. Arbitration
30.1 Any dispute, controversy, or claim arising out of or relating to these Terms, including its formation, interpretation, breach, or termination, shall be referred to and finally resolved by arbitration in accordance with the arbitration rules applicable in India.
30.2 The seat and venue of arbitration shall be India. The arbitration shall be conducted in the English language before a single arbitrator, unless otherwise agreed by the parties.
30.3 Nothing in this Section shall preclude either party from seeking interim or injunctive relief from a court of competent jurisdiction.
31. Changes to Terms
31.1 The Company reserves the right to modify these Terms at any time. Material changes will be notified through the Services or by other reasonable means.
31.2 Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
